Since the beginning of the 20th century, Delaware has been the most popular place in the United States to form companies. The formation and the support of companies became big business for the second smallest state of the USA. There are various legal forms to choose from, one of the most popular being the Corporation. There are many similarities between Corporations and the Austrian Aktiengesellschaft. A great number of internationally successful companies and concerns choose Delaware as their state of incorporation. Among them are famous names such as Facebook, Amazon, Boeing, Coca Cola, Disney or Ebay. All of these companies were incorporated as a Corporation in Delaware. But it is not only big concerns that choose Delaware for their incorporation. Equally, many small companies are constantly formed in Delaware. With a population of about 900,000, Delaware is a very small state. Nevertheless, it is home to more than 1.1 million companies, of which about 300,000 are Corporations. In contrast, there are only about 2,000 Aktiengesellschaften in Austria. Considering these numbers, the question comes to mind, why Delaware is chosen by so many Corporations. The present paper starts out with an overview of the legal construct of the Aktiengesellschaft. In addition, the incorporation of an Aktiengesellschaft in Austria is illustrated, followed by a chapter giving an outline of the legal system of the United Stated as well as US Corporate Law and the Corporate Law of Delaware. Subsequently, the legal form of the Corporation and its incorporation is illustrated. The final chapter contains a comparison of the incorporation of an Aktiengesellschaft in Austria and the incorporation of a Corporation in Delaware. In addition, it comments on both, advantages as well as disadvantages and risks of Delaware as state of incorporation.
